At J.Rosen Law, LLC, our mission is to provide experienced, effective, and responsive legal representation. Drawing on 15 years of experience, our goal is to provide high level, responsive service with small firm attention and costs. We are a boutique business law firm, offering a range of services, representing individuals and businesses in business transactions of all kinds, advising clients on corporate law matters, corporate governance, commercial real estate, land use, cell towers, government and administrative law and other business and real estate law matters.

John E. Rosen

Born and raised in Charleston, South Carolina, John Rosen graduated from Porter-Gaud School in 1993. He attended the University of Virginia and earned a bachelor’s degree in U.S. History in 1997. He taught English in Brazil for a year after college and then attended the University of South Carolina Law School and Moore School of Business, where he earned his law degree and a Masters of International Business in 2004. John has been practicing law for 15 years in Charleston with extensive experience in representing individuals and businesses in business transactions of all kinds, advising clients on corporate law matters, corporate governance, commercial real estate, land use, government law and other related issues. Having earned a master’s degree in international business, he understands the many issues facing today’s management. John also has extensive experience in business, commercial and real estate litigation. As a result, John is able to provide sound legal advice to those owning, running or managing small to medium sized businesses. John often act as outside counsel to companies in a variety of circumstances, advising them on matters from formation and drafting of shareholder agreements and bylaws, to dissolutions and liquidations and other general corporate issues. His practice includes advising corporate clients from the business formation stage to ongoing governance matters, to contract negotiations, mergers and acquisitions (assets sales and stock sales), dissolutions and liquidations and other general corporate issues. John has drafted and negotiated all types of corporate agreements for all kinds of clients. John is a member of the South Carolina Bar and admitted to practice in all state courts and the U.S. District Court for South Carolina. He has experience with complex business, real estate and commercial disputes ranging from shareholder and partner disputes to issues with vendors, suppliers, and a myriad of other business disputes. He also has significant experience handling corporate, shareholder and LLC member disputes, including shareholder/member oppression and share buyout and valuation litigation. John also handles commercial real estate development matters, including land use /zoning and regulatory issues, leasing, HOA matters, and creation and governance of condominiums and community associations and similar matters.
John also has significant experience in cell tower transactions and related issues. John often represents landowners in these transactions, and has represented governmental entities, private landowners and others in negotiation with cell tower companies, owners, and carriers regarding long-term leases, extensions, perpetual grants of easement, sales and related transactions. John used to work for one of the state’s largest firms, where he advised underwriters, municipalities and other state and local entities on the authorization, issuance and sale of municipal securities, served as both bond counsel and underwriter’s counsel and performed securities work in connection with several types of municipal securities transactions. Being an third generation lawyer and having grown up with a family of attorneys, John has long appreciated the opportunities the legal profession provides for continuous learning, new challenges and, most importantly, the satisfaction that comes with assisting people in protecting and growing their business, meeting their business objectives and successfully resolving their disputes. He maintains an AV Preeminent® rating, the highest professional rating, in the Martindale-Hubbell Law Directory. He is also listed in The Best Lawyers in America©.

Past Representations

  • Represented a minority shareholder in a breach of contract and fiduciary duty lawsuit arising from a series of LLCs and corporations in multiple states, based on claims that her partners used corporate funds for their personal benefit and tried, among other things, to sell partnership property to a third party. Successful mediation resulted in a significant settlement.
  • Represented the majority shareholders of an IT company in successfully both defending a lawsuit and asserting counterclaims against a disgruntled minority shareholder who was himself expending company funds for personal benefit, failing to perform his duties as an employee of the company or meet his obligations as a shareholder. We obtained a judgment against the plaintiff for attorney’s fees and costs.
  • Represented the minority shareholders of a closely held telecommunications corporation in a multi-million-dollar sale to a foreign concern.
  • Represented a home healthcare company owner in the successful sale of her business to a large corporation.
  • Represented the owner of a manufacturer of industrial modular framing systems, workbenches, production systems and containers in the sale of his business to his supplier for multi-million including a long-term leaseback of the property where the business is located.
  • Represented a 50/50 shareholder in a successful national market analytics, data management and reporting firm in shareholder “freeze out” litigation to regain control of the company and negotiate the exit of the other shareholder.
  • Successfully represented a broker-dealer in ending their employment by one of the nation’s largest brokerages without a negative FINRA Form U5 entry.
